These Terms of Service ("Terms") govern your use of Docuscry. By using Docuscry, you agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using Docuscry ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and paying customers.

2. Description of Service

Docuscry is an internal knowledge base and search platform that helps teams:

  • Upload and organize internal documentation
  • Search across documents using semantic and keyword search
  • Get AI-powered answers to questions based on uploaded content
  • Track usage analytics and knowledge health metrics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

3.1 Account Creation

To use Docuscry, you must create an account with a valid email address. You must provide accurate and complete information and keep your account information updated.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.3 Age Requirement

You must be at least 13 years old to use Docuscry. If you are under 18, you must have permission from a parent or guardian to use the Service.

4. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Upload malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) without prior written consent
  • Upload content that violates intellectual property rights
  • Upload content that is illegal, harmful, threatening, abusive, or defamatory
  • Use the Service to store or distribute spam or unsolicited messages
  • Resell or redistribute the Service without authorization
  • Interfere with or disrupt the Service or servers

5. User Content and License

5.1 Your Content

You retain all ownership rights to the documents and content you upload ("User Content"). We do not claim ownership of your User Content.

5.2 License to Docuscry

By uploading User Content, you grant Docuscry a limited, non-exclusive, worldwide license to:

  • Store, process, and display your User Content to provide the Service
  • Generate embeddings and indexes for search functionality
  • Create AI-generated summaries and answers based on your User Content

This license terminates when you delete your User Content or close your account.

5.3 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to upload the User Content
  • Your User Content does not violate any laws or third-party rights
  • Your User Content does not contain malware or harmful code

6. Subscription and Billing

6.1 Plans and Pricing

Docuscry offers multiple subscription plans (Starter, Pro, Business). Pricing is available on our Pricing page. We reserve the right to change pricing with 30 days' notice.

6.2 Billing

  • Subscriptions are billed monthly or annually, in advance
  • Payment is processed automatically via Stripe
  • You authorize us to charge your payment method on each billing cycle
  • Failed payments may result in service suspension after 7 days

6.3 Refunds

We offer a 14-day money-back guarantee for first-time customers. After 14 days, subscriptions are non-refundable. You may cancel at any time, and your access will continue until the end of your current billing period.

6.4 Free Trial

We may offer a free trial period. At the end of the trial, you will be automatically charged unless you cancel before the trial ends. No refunds are provided for unused trial periods.

7. Cancellation and Termination

7.1 Cancellation by You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for mid-cycle cancellations.

7.2 Termination by Docuscry

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails and remains unpaid for 14 days
  • We are required to do so by law
  • We discontinue the Service (with 90 days' notice)

We will provide reasonable notice before termination unless immediate termination is required for legal or security reasons.

7.3 Data Upon Termination

After termination, we will retain your data for 30 days to allow for account reactivation. After 30 days, all data will be permanently deleted. You may export your data before cancellation.

8. Service Availability

We strive to maintain 99.9% uptime, but the Service is provided "as is" and may experience interruptions due to maintenance, updates, or unforeseen issues. We are not liable for any downtime or service interruptions.

We will provide advance notice of scheduled maintenance when possible.

9. Intellectual Property

The Service, including all software, design, text, graphics, and other content (excluding User Content), is owned by Docuscry and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Search results or AI answers will be accurate or complete
  • Any errors or defects will be corrected
  • The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCUSCRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Docuscry, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your User Content or any infringement of third-party rights
  • Your violation of any laws or regulations

13. Third-Party Services

The Service may integrate with third-party services (OpenAI, Stripe, etc.). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their actions.

14. Data Processing Agreement (DPA)

For Business plan customers, we offer a Data Processing Agreement (DPA) that complies with GDPR and other data protection regulations. Contact [email protected] to request a DPA.

15. Export Control

You may not use the Service in violation of U.S. export laws and regulations. You represent that you are not located in a country subject to U.S. embargo and are not on any U.S. government list of prohibited or restricted parties.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules, except that either party may seek injunctive relief in court for intellectual property disputes.

You and Docuscry agree to waive the right to a jury trial or to participate in a class action.

16.3 Jurisdiction

You agree to submit to the personal jurisdiction of the courts located in Delaware for any actions not subject to arbitration.

17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Docuscry regarding the Service and supersede any prior agreements.
